About the role
TL;DR
Corporate Counsel to support corporate governance, securities, and commercial contracting.
- •As Corporate Counsel, you'll be the second corporate attorney on Human Interest's Legal team, reporting to the Assistant General Counsel, Corporate & Commercial.
- •You'll own a broad slate of corporate, securities, and governance matters as Human Interest scales, and you'll also pitch in on commercial contracting, incident management, and regulatory matters.
- •Key Responsibilities Support corporate governance work for Human Interest Inc. and Human Interest Advisors.
- •Manage the Legal portion of cap table and equity matters.
- •Support corporate finance and transactional activity across various transaction types.
- •Build and maintain the governance and transactional playbooks, templates, and processes.
- •Lead negotiation and execution of commercial agreements.
- •Requirements JD from an ABA-accredited law school and active bar membership. 4+ years of corporate and securities experience at a top-tier law firm, with at least one in-house role.
- •Experience with a range of corporate transactions and cap table mechanics.
- •Experience drafting and negotiating commercial contracts.
- •Pragmatic and business-minded communicator.
