Senior Legal Counsel to manage contracts, corporate law, M&A, and IP for a tech company.
- •HOLYWATER TECH is seeking a Senior Legal Counsel (Contracts & Corporate) to join their team and contribute to the creation and evolution of their innovative products.
- •This role involves managing legal aspects of commercial agreements, M&A, and corporate governance.
- •Key Responsibilities Draft and negotiate strategic alliances and content agreements with major US entertainment studios and top content creators.
- •Structure and conduct negotiations regarding IP: AI-derivative rights, adaptation licenses, and distribution agreements.
- •Manage agreements with major digital platforms (e.g., TikTok) and ensure compliance with terms.
- •Oversee contract management processes, including drafting and negotiating tech/IT agreements with providers (SaaS, cloud/hosting, DPA, SLA, MSA/SOW).
- •Lead legal workstreams for sell-side and buy-side M&A transactions, including SPA redlining, deal structuring, due diligence, and post-close integration.
- •Requirements Over 5 years of experience as Legal Counsel in large consulting firms (Big Four, Legal 500).
- •Proven experience with complex multi-jurisdictional agreements.
- •Strong background in corporate law.
- •Understanding of English law (English law is paramount for negotiations).
- •Experience working with agreements under English/American law.
- •Experience with AI for contract work.
