About the role
TL;DR
Provide legal counsel and manage corporate governance, strategic transactions, and entity management for Armada.
- •Armada is seeking a pragmatic, business-minded Senior Corporate Counsel to join our Legal team, reporting directly to the Head of Legal.
- •This is a high-impact role for a seasoned attorney who thrives in fast-moving environments and wants to own significant workstreams across corporate governance, strategic transactions, commercial matters, and operational legal support.
- •Key Responsibilities Own corporate governance matters, including preparation of board and committee materials, resolutions, minutes, and consents, and maintenance of corporate records across the corporate group.
- •Lead legal workstreams for strategic transactions, including mergers and acquisitions, investments, financing transactions, and strategic partnerships; independently manage diligence, structuring support, and documentation from inception through close.
- •Drive subsidiary management and entity governance across domestic and international jurisdictions, including formations, qualifications, annual filings, and compliance obligations; direct local counsel to ensure entities remain in good standing.
- •Manage equity and corporate legal operations.
- •Requirements JD from an accredited law school.
- •Minimum of 10 years of legal experience, with a strong background in corporate law, strategic transactions, and corporate governance.
- •Proven track record of managing complex legal initiatives and providing strategic counsel to senior leadership.
- •Exceptional analytical, problem-solving, and communication skills.
- •Ability to thrive in a fast-paced, dynamic environment and manage multiple priorities.
